MERCHANT SERVICE TERMS
Terms of Service
These terms govern access to NEXUSPAY and NEXSMART services provided by Nexus Core Technologies. The Merchant Agreement accepted during verification, together with the pricing and settlement terms shown in the platform, forms part of these terms and controls if there is a conflict.
Effective September 21, 2026
1. Eligibility and authority
You must have legal capacity to use the service and, when acting for a business, be authorized to bind that business. You must provide accurate, current information and complete any identity, business, sanctions, fraud, or risk checks we or our payment partners reasonably require.
2. Your account
You are responsible for your credentials, PINs, registered devices, team-member access, and all activity performed through your account. Notify us immediately if you suspect unauthorized access. You may only add team members who are authorized to act for your business and are eligible to use the platform.
3. Services
Available services may include payment acceptance, QR Ph, payment links, supported cards and e-wallets, settlement and payout tools, NEXSMART POS, reporting, and other business features. Availability depends on your plan, verification status, device, location, and our payment partners. Features marked “coming soon” are not yet part of the active service.
4. Payments, fees, and settlement
Current fees, payout charges, processing rates, and settlement periods are displayed in Merchant Settings or your Merchant Agreement. We may deduct authorized fees, refunds, reversals, chargebacks, taxes, reserves, or other amounts you owe from funds payable to you. Settlement timing may be affected by weekends, holidays, provider availability, compliance review, or transaction disputes.
5. Merchant obligations
You must clearly describe what you sell, honor customer commitments, issue lawful receipts, maintain accurate records, and comply with consumer, tax, privacy, and industry requirements. You must not split transactions to avoid limits, submit false transactions, process payments for another undisclosed business, or use the service for unlawful, fraudulent, misleading, or prohibited activity.
6. Refunds, reversals, and disputes
You remain responsible for customer refunds, payment reversals, chargebacks, and related evidence or fees. A transaction shown as pending is not final. Do not provide duplicate goods or request a customer to pay again until the payment status has been checked through the transaction record or with support.
7. Acceptable use and platform integrity
You may not attempt to bypass controls, manipulate balances, create duplicate payouts, probe or disrupt the service, introduce malicious code, misuse another user's data, reverse engineer protected components, or access features outside the permissions assigned to you.
8. Third-party services
Payments and some platform functions rely on banks, payment gateways, e-wallets, identity providers, internet services, and other third parties. Their services and terms may also apply. We are not responsible for interruptions or decisions that are outside our reasonable control, but we will use reasonable efforts to communicate and address service issues.
9. Suspension and termination
We may limit, suspend, or terminate access when reasonably necessary to protect users or the platform, comply with law or partner requirements, investigate suspicious activity, enforce these terms, or address unpaid obligations. Where appropriate, we will provide notice and an opportunity to contact support. Obligations relating to fees, disputes, confidentiality, records, and liability survive closure.
10. Intellectual property
NEXUSPAY, NEXSMART, the platform, and their software, designs, and content are owned by or licensed to Nexus Core Technologies. We grant you a limited, revocable, non-transferable right to use the service for your authorized business operations. You retain ownership of your business content and grant us the rights needed to host, process, display, and transmit it to provide the service.
11. Service availability and liability
We aim to provide a secure and reliable service, but uninterrupted availability is not guaranteed. To the extent permitted by applicable law, neither party is liable for indirect, incidental, special, or consequential loss. Nothing in these terms excludes liability that cannot lawfully be excluded or limits mandatory consumer or data-protection rights.
12. Changes and governing law
We may update these terms as services, fees, partner requirements, or laws change. Material changes will be posted or communicated through the platform. These terms are governed by the laws of the Republic of the Philippines, without limiting rights that applicable law does not allow the parties to waive.
